Legal Counsel

What We Want:

The candidate will be responsible for providing legal support for all legal matters of Performance Materials sector in China. The candidate will advise the managing director, all relevant business units as well as group functions such as Finance, Procurement and HR in a wide variety of areas of activity. This includes matters of the operational business, project work, dispute resolution support and corporate governance tasks from corporate housekeeping to corporate restructurings. The role also includes monitoring changes of laws and regulations in all applicable fields and training the relevant colleagues on new legal developments as well as on internal policies and on the handling of contracts and other legal matters in general. The experienced review, drafting and negotiation of a wide variety of commercial agreements including R&D agreements is a key area, including the drafting of templates. The candidate will also closely cooperate with the local compliance officer, as well as other local, regional and global colleagues of Group Legal & Compliance department. The role also includes the cost efficient management of outside counsel. The candidate should be able to work proactively and independently, have a strong business sense and enjoy working in international and cross-functional teams.

 

Who You Are:

 

  • Master law degree from a well-recognized Chinese law school with top academic credentials
  • Qualified to practice law in China as a lawyer (State Bar)
  • Additional foreign education and postgraduate degree is a plus
  • Additional IP background and education is a plus
  • Minimum of 5 years of law firm and/or in-house experience with commercial and business affairs including international commercial transactions as focus areas. Combination of law firm and in-house experience with at least 3 years law firm experience is preferred
  • Experience providing legal advice to the chemicals industry is preferred
  • Working experience abroad is a plus
  • Additional IP background and experience is a plus
  • Excellent command of English and Mandarin both orally and in writing including strong legal drafting skills is a must, additional languages are a plus
  • Experienced in the areas of commercial and business law, antitrust and competition law, intellectual property law, corporate governance and housekeeping, foreign investment law, labor law, dispute resolution and compliance matters
  • Experienced in the drafting and negotiation of a wide variety of commercial agreements including, among others, supply agreements, distribution agreements and various types of R&D agreements, and experience in the field of the use of general terms and conditions
  • General understanding of business and commercial affairs in a global environment
  • Strong communication skills including feeling comfortable to directly advise senior management and ability to translate complex legal backgrounds into summaries which are easily understandable by non-lawyers
  • Ability to take clients’ concerns into account in how best to pursue legal strategies. Ability to provide effective and simple solutions for complex legal projects and situations
  • Team player who is comfortable to work in international and cross-functional teams and to assume responsibility. Proactive working style
  • Ability to balance numerous matters while prioritizing same on a day-to-day basis as events require
