The Corporate Counsel role is responsible for delivering comprehensive legal, compliance, and data privacy support in India across the Company’s Business Sectors (Healthcare, Life Sciences, and Electronics). This role serves as a Company Secretary for designated entities, ensuring adherence to secretarial compliance. The role reports to the Head of Legal, Compliance, and Data Privacy for India, and is based in Mumbai, India.
Your Role:

Provide legal counsel and advice to the Healthcare, Life Science, and Electronics business sectors and all operating entities in India.

Support various contracting activities, including commercial, research, and procurement-related contracting, as well as market access, commercial, medical, and research activities along with digital projects.

Deliver timely, value-added, and risk-based business support and guidance to internal stakeholders on critical Legal, Compliance, and Data Privacy matters, such as projects, marketing activities, launches, integration management etc.

As Company secretary of the assigned entities, manage all secretarial compliance, ensuring smooth execution of board and general meetings, filing of returns and forms, completion of year-end compliance, including book closure and annual reports.

Implement the global Compliance Management System (CMS) and Data Privacy Management System (DPMS) within your area, considering local industry standards, laws, and codes. Key deliverables include conducting risk assessments, managing compliance forums, delivering essential compliance training, RoPA, Data Privacy assessments, Data Privacy reporting to local management, handling of data subject requests, holding defined critical Data Privacy trainings, etc.

Promote strong Compliance and Data Privacy awareness by conducting investigations in collaboration with the Compliance Center of Expertise (CoE) Case Management team and managing potential data breaches in collaboration with the Group Data Privacy Officer and CoE Data Privacy team.

Design and deliver educational and training programs focused on Legal, CMS, and DPMS elements to enhance awareness of standards. Maintain ongoing communication programs to reinforce Compliance and Data Privacy awareness.

Collaborate with Compliance and Data Privacy CoEs to share best practice sharing and stay informed about trends in these areas.

Assist in the development and implementation of relevant legal, compliance, and data privacy strategies, policies and procedures, ensuring alignment with local industry norms, local laws, and codes.

Review global documents to develop, update, and implement local legal, compliance, and data privacy rules, standards, policies, and procedures in accordance with global standards and local regulations on a periodical basis.

Work closely with colleagues in the Global and APAC LE Teams to foster collaboration across sectors.

Proactively identify and manage legal risks in India, coordinating with relevant global teams on claims and litigations.

Undertake ad hoc projects as assigned.
Who You Are:
-
CS and Law degree with a minimal of 5 years’ experience in the Healthcare, Life Sciences, and Electronics sector, ideally with a large law firm or the legal/compliance department of an international company.

Knowledgeable about data privacy legislation in India.

Experienced in developing and implementing Compliance and Data Privacy Programs in a multinational context.

Familiarity with anti-bribery and anti-corruption laws; knowledge of anti-money laundering is a plus.

Ability to work collaboratively across a diverse, highly matrixed organization.

Strategic thinker capable of leading multiple initiatives simultaneously and working independently.

Comfortable engaging with all levels of management including senior executives.

Strong business acumen and influence.

Excellent organizational, collaboration, and communication skills.

Good oral and written English.
